With participating SMEs in sectors such as food processing, healthcare, hospitality, media, and manufacturing, TESSA empowers organizations to embrace green transformation and circular economy practices, creating ripples of positive change across sectors. https://berytech.org/programs/tessa/Background In the second phase of the TESSA project, 10 corporate institutions are developing sustainable initiatives focused on transitioning to renewable energy or reducing waste output. The legal component is essential to the success of these projects, ensuring compliance with regulations, securing intellectual property, and mitigating risks. By addressing legal considerations, the projects are better positioned for long-term viability Those 10 institutions have identified significant challenges related to circularity within their industries, particularly concerning waste and energy management or resource efficiency. In response to these issues, they have collaborated to develop an innovative project aimed at addressing these problems through circular solutions. This initiative focuses on minimizing waste generation by reusing materials, enhancing product lifecycles, and promoting sustainable practices throughout the supply chain, and improving energy efficiency. By implementing strategies, these SMEs are not only working to reduce their environmental impact but also creating economic opportunities and fostering a more sustainable business ecosystem Scope of Work The consultant is expected to perform the following for 1 company: Legal Review of the Company and its Project: The consultant will review the legal nature of the company and the proposed project and make sure that it complies with local and international law. This is applicable by analyzing the project (structure and objective), identifying legal permits and license, and provide legal risk assessment report. Development of Partnership and Collaboration Agreements: The consultant will develop comprehensive partnership and collaboration agreements that outline the terms between other stakeholders in Lebanon (if applicable). The agreements should cover (but not be limited to): the roles and responsibilities of each parent, financial obligations, resource allocation, termination conditions Develop Legal Templates and Give Legal Opinion The consultant will develop legal templates for the company to be used in future references such as agreement templates, partnership/collaboration agreement templates, etc The consultant will also give the legal opinion on how the company should move forward (from a legal perspective) in regards to their project Risk Mitigation Strategy for Regulatory Changes The consultant will set a risk mitigation strategy for any upcoming changes in the local or international regulations. It would outline how the company should monitor and respond to regulatory changes that may affect its operations, as well as a recommended process for updating internal policies. IP Potential Registration The consultant will verify if the project has the potential to be registered as an IP, such as patents, trademarks, copyrights, and trade secrets. The consultant will also support the company in preparing all legal documents to start the registration process. Deliverables Deliverable 1: Initial Assessment and Legal Review Conduct introductory meetings with the companys management team to understand their objectives, challenges, and expectations. Perform a comprehensive assessment of the companys existing legal systems, procedures, and operational practices Gather all legal documents that can serve in covering the legal aspect of the project Deliverable 2: Partnership and Collaboration Agreements Analyze the data collected and set the best approach for setting partnerships/collaborations with other stakeholders Drafted and finalized agreements for all identified partnerships, along with any necessary revisions of existing agreements Deliverable 3: Legal Documents Templates Develop detailed legal templates such as partnership and collaboration agreements, NDA, and compliance action plan. Deliverable 4: Risk Mitigation Strategy Develop an in-depth legal risk mitigation strategy from licensing, registration, and certifications and partners rights and duties. Qualifications Legal Expertise: A strong background in law, especially corporate law The service provider should have at least 5 years of experience in supporting corporate institutions in their legal component The service provider should be able to handle up to 5 companies simultaneously and deliver within 3 months Professionalism and Ethics: Adherence to professional standards, confidentiality, and ethical conduct Company profile highlighting relevant qualifications and experience A portfolio or samples of previous legal consultancy work Use of tools and methods to finalize the consultancy mission with the support of the beneficiary Applications to this proposal can be from independent trainers/consultants, Corporate or Agency Timeline and Application The selected Consultant is expected to start his/her activities at the soonest after selection, and the contracts duration is 3 months, covering a minimum of 30 hours, with a budget of up to 3,000 Euro Candidates should submit the following documents: Technical (maximum two pages) describing the methodology to conduct the work based on the content suggested in the section: Scope of Work, and Deliverables elaborating it further.
