1. The Subject Of The Order Are Long-Term Loan Services In Accordance With Applicable Law (Act Of August 29, 1997, Banking Law (Journal Of Laws Of 2023, Item 2488, As Amended). 2. The Subject Of The Order Is The Granting And Servicing Of A Loan. Long-Term In The Amount Of: Pln 6,000,000.00 (In Words: Six Million Zlotys 00/100), Which Will Be Used To Finance The Budget Deficit Of The Karpacz Commune In 2024 And Repay Previously Incurred Liabilities. 3. Detailed Arrangements Regarding The Subject Of The Order: 1) The Contractor Will Grant The Ordering Party A Loan In Polish Currency In The Amount Of Pln 6,000,000.00. 2) Loan Period: 2025-20273) The First Loan Repayment Will Be Made By April 30, 2026 (Grace Period For Capital Repayment)4) The Loan Will Be Collected Once From The Date Of Signing The Contract Until December 31, 2024.5) The Deadline For Placing The Funds At The Ordering Partys Disposal Will Be When The Ordering Party Submits A Request For Funds On Time. 2 Business Days Before The Date Of Placing The Funds At The Ordering Partys Disposal.6) An Instruction To Withdraw Funds May Be Submitted In The Form Specified By The Bank.7) Instruction Loan Disbursement Will Be Sent Electronically (Email Or Home Banking) Within The Loan Disbursement Date. The Original Will Be Immediately Delivered To The Bank. Delivery Of The Original Cannot Determine The Disbursement Of The Loan. 8) Repayment Of Capital Installments Will Take Place In Monthly Periods, Payable By The Last Day Of The Calendar Month. The Ordering Party Allows The Contractor To Set The Repayment Date For Loan Installments On The Last Business Day Of The Month, If Required By The Technical Parameters Of The Banks Settlement System. The Ordering Party Requires That The Actual Repayment Of Capital Takes Place By The Last Day Of The Month During The Entire Loan Period.9) Repayment Of Capital Installments Of The Loan Will Be Made In Monthly Installments On The Following Dates And Amounts: A) By April 30, 2026 - First Installment In The Amount Of Pln 333,333.36; B) From May 31, 2026 To December 31, 2026 - Eight Installments In The Amount Of Pln 333,333.33;C) From January 31, 2027 To August 31, 2027 - Eight Installments In The Amount Of Pln 350,000.00;D) Until September 30, 2027 - Ninth Installment In The Amount Pln 200,000.00.10) Interest Repayment In Monthly Periods In The Years 2025 (I-Xii) - 2027 (I-Ix) Will Be Made On The Last Day Of The Calendar Month.11) The First Interest Payment Will Be Made On The Last Calendar Day Of The Following Month After The Month Of Loan Disbursement.12) The Amount Of The Loan Used Bears Interest Annually, According To A Variable Interest Rate. The Interest Rate Is Equal To The Reference Rate Plus The Banks Margin. The Reference Rate Is The Wibor 3M Rate, Which Is The Interest Rate For 3-Month Interbank Deposits, Calculated As The Average Of The Last Month Preceding The Month For Which Interest Is Calculated. The Banks Margin Is Constant During The Contractual
