Tenders are invited for Internal Governance Consultancy - Clyntech Context & Background Berytech is a leading organization in the Entrepreneurial Eco-system in Lebanon, that aims to provide a conducive environment for the creation and development of startups, through incubation, business support, counseling, funding, networking, and the company hosting, hence taking part in the economic revival of the country, participating in wealth and job creation, and retaining graduates and high-level skills in Lebanon. Through the Clyntech Accelerator Program, startups received support to develop and validate their product or service, build their commercial foundations, and test their business model with early adopters. Having completed the Acceleration phase, the startups now entering the Incubator are focused on scaling their business and preparing for investment. The Clyntech Incubator Programs mission is to support early-stage cleantech startups that have completed the Acceleration phase and are ready to scale, by equipping them with the foundations needed to become investment-ready. The startups supported share three common characteristics: A disruptive scientific or technological focus in the Clean-tech sector. A validated product or service with early traction and the potential to scale beyond the local market. The capacity to attract investment and create sustainable job opportunities locally. Scope of work The Clyntech Incubator Program seeks to equip startups with the knowledge and tools needed to design effective organizational structures, establish sound internal governance frameworks, build strong leadership teams, and foster values-aligned company culture that supports sustainable growth. This is to be achieved through a half-day workshop and up to 2 one-on-one sessions for up to 8 startups, based on their needs. The workshop will cover the following: 1. Organizational Structure & Team Building Understanding startup team needs at the current growth stage. Identifying clear roles, responsibilities, and reporting lines. Cap table basics: structure, ownership documentation, and common pitfalls. Aligning organizational structure with the business model and growth plans. Identifying skill gaps within the founding team and how to address them. Managing co-founder dynamics and decision-making authority. 2.Culture and Leadership Identifying core values and integrating them into the organizations culture. Understanding the founders role in shaping and sustaining company culture. Building accountability frameworks that balance performance expectations and teamwellbeing. 3. Internal Governance Practices Identify the foundations of governance practices. Best practices for strategies and partnerships, people and resources, technology and IP, processes and accountability. The difference between the different phases of startup growth and the needed governance level at each phase. How to create a board of advisors and maintain board meetings. How to manage relationships between a companys management, its board, its shareholders, and other stakeholders. The structure through which the objectives of the company are set, the means of attaining those objectives, and monitoring performance. The consultant will also ensure that the concepts covered during the workshop are applied during the clinics with each startup. Following the first clinic, the expert will assess the need for a second session with the teams and provide a recommendation. This will be coordinated and agreed upon with the program team. Deliverables Workshop Outline and Materials. Training Delivery (1 Half-day workshop). Conduct 2 one-on-one sessions for up to 8 startups (total up to 16 one-on-one sessions) Provide a report summarizing the outcomes, feedback, and recommendations for each startup. A finalized and full governance plan for up to 8 startups. Qualifications At least 7 years of experience as a Consultant, Trainer, or similar role, preferably with a startup or in a startup environment. Strong governance and compliance knowledge, including cap tables, co-founder agreements, and company registration formats. Practical governance implementation experience with early-stage companies. Familiarity with startup legal structures in Lebanon and/or the MENA region is a strong advantage. Ability to effectively prepare and deliver training programs. Strong communication skills.
